Proskauer Rose, Greenberg Traurig Advising on $1.45 Billion Health Care Deal

HCA Holdings, the nation's largest hospital chain, announced this week that it would pay $1.45 billion to buy the remaining 40 percent of HCA-HealthOne that the company doesn't already own.
Denver-based HealthOne is a joint venture between HCA and the Colorado Health Foundation. The HealthOne system has provided health care to Denver residents and individuals in surrounding communities through a network of seven hospitals, 13 ambulatory surgery centers, and 30 outpatient facilities. With roughly 3,000 physicians, HealthOne is the largest health care system in the Denver area.
Proskauer Rose and Greenberg Traurig are representing the Denver-based Colorado Health Foundation, one of the largest health care-focused foundations in the state. Law Week Colorado reportsthat Proskauer health care partner Monte Dube and senior counsel Elizabeth Mills in Chicago are working on the deal, along with Greenberg Traurig government affairs partner Troy Eid, who also cochairs the firm's American Indian law practice. (Eid, a former U.S. attorney for the District of Colorado, rejoined Greenberg in January 2009 and was recently elected chair of a new federal Indian law commission.)
An HCA spokesman did not immediately respond to a request for information on the names of the lawyers advising the Nashville-based company on the deal, nor did HCA's general counsel Robert Waterman, a former chair of the health care group at Latham & Watkins.
Earlier this year, HCA refiled registration papers for an initial public offering seeking to raise $4.6 billion. Simpson Thacher & Bartlett and Nashville-based Bass, Berry & Sims advised HCA in that endeavor, which concluded in March. HCA estimated its legal fees and expenses related to the IPO to be $4 million, according to SEC filings. "
